Both in the doctrine and jurisprudence, there are several concepts in this matter, two of which are the most common. The first indicates a compensatory nature, while the other points out a warranty or quasi-warranty character. It should be emphasized, that a concept which indicates the compensatory nature of liability under Art. 299 of the Code of Commercial Companies has been widely recognized in jurisprudence in recent years. This publication aims to analyze the legal nature of the responsibility of members of the management board of a limited liability company. for violation of Art. 299 of the Code of Commercial Companies.
