Data publikacji: 2021-10-07 DOI: 10.53024/2.3.43.2021 URL: https://www.kssip.gov.pl/pobierz_plik/02_wolak.pdf SUMMARY: The author discusses the issue – raising doubts in the academic and judicial judicature – of whether a claim of a shareholder who is not an entrepreneur for payment of a share in the company’s annual profit (dividend) in a limited liability company or a joint-stock company and a claim of a limited partner who is not an entrepreneur for payment of profit in a limited partnership are claims connected with running a business activity or periodic claims within the meaning of Article 118 of the Civil Code, and as such are subject to prescription after three years. In his opinion, these claims are subject to prescription in six years, as they are not claims relating to the conduct of business activities or periodic claims. However, he postulates that these time limits should be shortened to three years as part of the amendment to the Commercial Companies Code.
